Agreement Between User & www.usi-electric.com: Welcome to www.usi-electric.com. The www.usi-electric.com website (the "Site") contains several web pages operated by USI, INC. ("USI"). By accessing www.usi-electric.com, you agree to all the terms, conditions, and notices herein (the "Terms"). Please read the terms carefully.

Electrical Services: www.usi-electric.com offers commercial and industrial electrical services.

Privacy: Your use of www.usi-electric.com is subject to USI's Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection procedures.

Use License: USI grants the user permission to view the materials on www.usi-electric.com only. You may not copy any content from the Site, use the content for any commercial purposes, remove any copyright, or transfer the content to another person.

Prohibited Behavior: You must not misuse our Site. Liability Disclaimer: We shall not be responsible for and disclaim all liability for the following: any loss, liability, damage (whether direct, indirect, or consequential), personal injury or expense of any nature whatsoever which may be suffered by you or any 3rd party (including your company), as a result of or which may be attributable, directly or indirectly, to your access and use of our Site, any information contained on our Site, you or your company's personal information, or material and information transmitted over our Site.

Indemnification: You agree to indemnify, defend, and hold harmless USI, the Site, its directors, officers, employees, consultants, agents, and affiliates, from any and all 3rd party claims, liability, damages and/or costs (including, but not limited to, legal fees) arising from your use of our Site or your breach of our Terms.

Arbitration: In the event the parties are not able to resolve any dispute between them arising out of or concerning these Terms, then such dispute shall be resolved only by final and binding arbitration pursuant to the Federal Arbitration Act, conducted by a single neutral arbitrator and administered by the American Arbitration Association in a location mutually agreed upon by the parties. The arbitrator's award shall be final, and judgment may be entered upon it in any court having jurisdiction. In the event that a legal action shall arise from the arbitration, the prevailing party shall be entitled to recover its costs and reasonable attorney fees. The parties agree to arbitrate all disputes and claims in regards to these Terms.

Class Action Waiver: Any arbitration under these Terms will take place on an individual basis. Class actions are not permitted. The parties agree that a party may bring claims against the other only in an individual capacity, and not as a plaintiff or class member.

Assignment: You understand and agree that USI may assign, transfer, or sub-contract our rights/obligations under these Terms.

Governing Law: The Terms shall be governed and construed in accordance with the laws and jurisdiction of the state of Ohio.

Conflicting Terms: If there is a conflict or contradiction between conflicting terns on our Site regarding specific policies, the relevant terms will prevail.

Severability: Any provision of any relevant terms and conditions, policies and notices which is unenforceable in any jurisdiction shall be treated as void and the remaining provisions of any relevant terms and conditions, policies and notices shall remain in full force and effect.

Revision of Terms: USI has the sole discretion to update the Terms under which www.usi-electric.com operates. The most current version of the Terms will supersede all previous versions. USI encourages you to frequently check this page for any changes to stay informed about any new terms taking effect.

Entire Agreement: The above Terms constitute the Entire Agreement between You and our Site and supersede any and all preceding and contemporaneous agreements between you and our Site. Any waiver of any provision of the Terms will be effective only if in writing and signed by a Director of our Site.

Acknowledgement: By using our Site, you signify your acceptance of our Privacy Policy and our Terms and Conditions. If you do not agree to our Terms, please do not use our Site.
